On the last day of 2019, the Serbian Business Registers Agency published notices in the Companies Register for about 4,000 companies that meet the conditions for the forced liquidation prescribed by Article 546 of the Company Law (Official Gazette of the RS, Nos. 36/2011, 99/2011, 83/2014 - other law, 5/2015, 44/2018 and 95/2018).
The notice states that the conditions for the forced liquidation have been met due to the fact that the company did not submit to the competent register its annual financial statements until the end of the previous financial year (2019) for the two consecutive financial years preceding the year in which the financial statements were to be submitted (2018 and 2017).
Since the reasons for initiating the forced liquidation cannot be eliminated and given that all the deadlines for submission of the said financial statements have expired, the notices are published on the Agency's website primarily in order to timely notify the creditors. Upon expiry of the period of 90 days from the date of publication of the notice, the Registrar keeping the Register of Business Entities shall initiate the forced liquidation proceedings against the said companies and only after that, within the period of 60 days, these companies shall be deleted from the Register.

To remind, about 22,400 companies were deleted last year from the Register of Business Entities on the basis of the same grounds. Currently, the conditions for initiating the forced liquidation have been met in about 4,000 companies.
