This is to inform all applicants that the Register of Business Entities, as of 2 April 2024, will modify the manner of registering changes in capital (increase and/or decrease on any grounds). The change is as follows: all increases or decreases will be registered as a single total amount of capital after the change, which should simplify the overview of the state of capital and the roles of members, both for the business entities themselves and for all interested parties.

This means that, if several individual payments have been registered in the company implementing the capital increase, the Registrar, when issuing a decision (starting on 2 April 2024), will delete all those individual payments and register only one, which will represent the sum of all those payments registered until then and new ones.

The same rule will be applied in the case of capital reduction, so the Registrar will delete all registered payments in this case and enter the difference between the existing capital and the reduction amount as the new capital amount.

In the same way, the registration of members' shares will be carried out (whether they are single-member or multi-member companies) and will refer to both monetary and non-monetary capital/shares.

Additionally, it is important to note that all existing payment/entry dates will be deleted, and the date of the decision implementing this change will be registered as the payment/entry date, in accordance with the provisions of Articles 147c, 300 and 323 of the Company Law ("Official Gazette of the RS", no. 36/2011, 99/2011, 83/2014 - other law, 5/2015, 44/2018, 95/2018, 91/2019 and 109/2021) which stipulate that the registered capital is considered to be increased or decreased on the day of registration in the Register of Business Entities, in accordance with the law on registration.

The Registrar of business entities made such a decision within his competence on the detailed regulation of the way of keeping the Register, with the consent of the competent Ministry of Economy.
