The enactment of the Rules on Granting Tax Identification Number to Legal Entities, Sole Traders and other Entities whose Registration is under the Authority of the Business Registers Agency (“Official Gazette of the Republic of Serbia” no. 32/2009, published on 5 May 2009), has enabled the Serbian Business Agency to launch its one-stop shop company registration system on 6 May 2009.

This system will enable the citizens to register their business at the Agency’s desk and collect their Business Registration Certificate complete with tax identification number (TIN) within 5 days, which is the timeframe stipulated by the Business Registration Law.

From now onwards, applications for company registration can only be filed on the new, integrated applications for registration of sole traders  and companies  and registration in the Taxpayers Register, as prescribed by the Rules on Granting Tax Identification Number to Legal Entities, Sole Traders and other Entities whose Registration is under Authority of the Business Registers Agency. The electronic forms can be downloaded from this website, in the sections Companies-Forms and Entrepreneurs-Forms. Otherwise, paper forms can be purchased in SBRA’s head office or branch offices. The OP Form (Authenticated Signatures of Proxies Granted the Power of Attorney) can also be downloaded and printed from the Companies-Forms section.

When completing the new registration forms, applicants should neatly enter all the required data. SBRA subsequently forwards the registration form on the applicants’ behalf electronically to other government agencies (Tax Administration, PDIF, RHIF), in order to go through the relevant administrative procedures for business startup. NOTIFICATION FOR COMPANIES ONLY

Upon payment of the initial capital, the prospective founders of a company need to request a Certificate from their bank, containing the value of the initial capital in euros and in dinars, according to the exchange rate effective on the day of the payment.

Furthermore, if the founders wish to subscribe and contribute non-monetary capital as well, their articles of association should contain the value of the initial capital denominated both in euros and in dinars, according to the exchange rate effective on the day of the subscription or contribution of the initial capital to the company.
